  • Represented Omega Healthcare Investors, Inc. in acquisition of Laurel Health Care Holdings Inc., provider of skilled nursing, rehabilitation, sub-acute and assisted living services in five states, for $170 million.
  • Represented Omega Healthcare Investors, Inc. in 2015 Rule 144A private offering of 5.250% senior notes due 2026 for $600 million. This was followed by a registered exchange offer in 2016.
  • Represented Dividend Capital Diversified Property Fund Inc. as buyer in connection with the acquisition of 143,477 square-foot retail facility located in Cape Cod, Massachusetts for $35,700,000.
  • Acquisition of a majority equity interest in a luxury, residential condominium development project in Manhattan.
  • Acquisition loan to the purchaser of a limited service hotel located in the Washington, D.C., metropolitan area.
  • Acquisition of a significant preferred equity interest in an exclusive hotel and resort in Puerto Rico.
  • Programmatic joint venture for the acquisition and development of residential properties in the Southeast.
  • Represented Steadfast Income REIT, Inc. and its subsidiary as the buyer-borrower in connection with the acquisition and financing of an apartment complex.
  • Represented Arbor Realty, a REIT, as lender in connection with a roughly $20.4 million loan facility that included acquisition financing, project development financing and construction financing.
  • Represented Omega Healthcare Investors, Inc. in acquisition of Aviv REIT Inc. in a stock-for-stock merger, forming a combined company with capitalization of approximately $7.8 billion.
  • Special tax counsel to AT&T Inc. in pre-paid master lease transaction of 9,100 cell towers to public REIT operator Crown Castle International Corp. for $4.85 billion.
