Stanton Koppel is Of Counsel in the San Francisco office. His practice focuses on advice and transactions in the financial services and payment systems area, including product design and related regulation, payment network marketing and sales agreements, risk management, technology acquisition and business acquisitions and spin-offs. He also practices in the area of corporate marketing sponsorships.

Previously, Mr. Koppel served as in-house counsel to Visa International and Visa U.S.A. Inc. for 28 years, the last 15 of which as senior vice president and assistant general counsel, providing counseling in every aspect of the companies’ global payment card business. In addition to his extensive experience in cards and payment systems, he has significant experience in online commerce, product development, technology infrastructure, acquisitions, governance and marketing.

Mr. Koppel also served as an attorney in the Appellate Section, Civil Division of the United States Department of Justice in Washington, D.C., presenting over 20 oral arguments on behalf of the government in the Federal Courts of Appeals.

  • Counseled in a variety of online commerce, remittance transfer and mobile payments projects, including counseling on anti-money laundering, privacy, consumer protection and remittance transfer regulatory compliance, joint services agreements, mobile and online wallet services.
  • Counseled the Central Bank of Russia on risk management in retail payment systems.
  • Counseled on merchant payments acceptance agreements; regulatory compliance due diligence supporting private equity investment; payments network interoperability; and electronification of health care payments.
  • Involved in a variety of online commerce projects, including payer authentication, security standards, fraud screening and investigations and bill payment technology.
  • Assisted in the development of the Visa’s Gold, Debit, smart (chip), prepaid, corporate and Travel Money cards, development of the PLUS and Interlink networks, the acquisition of the Plus ATM system and the formation of GCPS, a consortium of international banks supporting joint issuance of corporate cards to multinational corporations.
  • Involved in the development of VisaNet and Visa Direct Exchange, as well as software development and the establishment of major data centers. He assisted in the implementation of novel equipment such as the initial dial-up authorization terminals and merchant POS processing systems. He worked on the creation of Visa ePay, Visa DPS’ debit card issuer processing system, the Visa Distributed Processing System used by Visa Europe and the Visa Information Management system that supports Visa commercial card issuers.
  • Counseled on Visa’s extensive operating rules as well as the formation of Visa Canada, Vital Processing Services and the reorganization of Visa U.S.A. Inc.
  • Supported Visa’s extensive sponsorship activities and advised regarding Visa’s consumer advertising campaigns.
  • Negotiated Visa’s significant card issuance and co-brand programs with major financial institutions and card acceptance agreements with major merchants.
