Scott Kitchens is a member of the Corporate Finance and Securities Client Service Group. Mr. Kitchens focuses his practice on private investment funds, investment advisers, and related compliance issues. He also has experience representing entrepreneurs and the emerging companies that they create and grow.
Mr. Kitchens has represented a wide range of investment professionals and the private funds that they sponsor, from established firms managing hundreds of millions of dollars to investment advisers seeking to launch their first fund. He also represents institutional and fund of fund investors when negotiating their investments in other investment funds. Additionally, he has significant experience with management company operations, including structuring, profit sharing, employee hirings, and separation agreements. Recent representative matters have included organizing a fund-of-one for a large pension plan, structuring and negotiating a first-loss program for a SEC-registered investment adviser, launching multiple onshore and offshore investment funds, and representing a group of pension plans in connection with their investment in a private equity fund.
Prior to joining the firm, Mr. Kitchens was an associate at a San Francisco-based investment management law firm, where he focused on representation of investment advisers and private investment funds. Earlier, he was a transactional attorney at a law firm that specializes in helping entrepreneurs and startups, where he served as outside general counsel for more than 75 emerging companies.
