Sarah Delon-Bouquet is Counsel in the firm’s Paris office. She focuses her practice on labor and employment law, and serves as the firm’s Team Deputy Leader for European Labor and Employment.

She has significant experience in advising and representing international clients having business activities in Europe and in particular in France with day-to-day issues related to labor law, whether contentious or not. This involves all aspects of labor and employment law from drafting employment agreements to advising on issues related to working time, employee benefits, organizing personnel representative elections and consulting with the works council to negotiating termination agreements.

Ms. Delon-Bouquet also advises clients on the employment aspects of cross-border corporate transactions (due diligence, application of transfer of undertaking provisions, review of acquisition and employment agreements, non competes, information and consultation with works councils, post-acquisition company restructuring).

Furthermore, she advises clients on EU and French data protection and privacy law compliance, as well as issues related to cross-border data flows, transfer of data outside the European Union and implementation of protective measures.

Representative Experience

Recent or pending matters on which Ms. Delon-Bouquet has worked include:

  • Assisting a US software editor with its acquisition of a French software company, putting into place a business lease agreement, transfer and integration of its employees;
  • Coordinating in different EU jurisdictions for a digital advertising solutions provider legal advice in connection with the transfer of employees, termination and related risks following the sale of part of its business;
  • Advising a US software editor with respect to a collective economic dismissal plan and representation in court against subsequent employee wrongful termination claims;
  • Assisting a US consumer product manufacturer in connection with the consultation of its personnel representatives in light of separating part of its activity;
  • Advising a company specialized in medical devices with its implementation of a restructuring;
  • Advising an IT company with an employee moral harassment claim;
  • Assisting an engine repair facility with the negotiation of a mutual termination agreement;
  • Assisting a leading supplier of packaging products with its personal data protection compliance, involving filing of required declarations with French data protection authority, entering into a data transfer agreement and group-wide data processing agreement and implementing whistleblowing measures;
  • Filing of a claim for a US software editor against union representatives to contest their representativity following works council elections;
  • Assisting clients with their European-wide data protection compliance following the European Court of Justice invalidation of the Safe Harbor certification;
  • Adapting of a leave policy to French law requirements for a medical device supplier;
  • Negotiating a commercial lease for an IT company and providing advice about French paid vacation laws (+Halyard).
