Sandra Pfister, a German qualified banking and finance lawyer, advises banks, institutional investors as well as corporations on innovative and bespoke German and cross-border corporate and structured finance transactions, including syndicated lending, acquisition financing, project financing and real estate financing. Ms. Pfister also advises on loans for exports and international deliveries, trade financing, as well as restructurings and equity capital/PE financings. Her experience additionally includes international debt and equity capital markets transactions.

Ms. Pfister is a recognized lawyer for “Banking & Finance: Acquisition Finance and Syndicated Lending” in Germany by Chambers Global (2012-2017) and Chambers Europe (2012-2017) and is among the few “frequently recommended lawyer[s] for lending and acquisition finance work” by JUVE (since 2009).   • Representation of pbb Deutsche Pfandbriefbank on its approx. €37 million refinancing of four retail centers in connection with their majority acquisition by a subsidiary of WCM Beteiligungs- und Grundbesitz-AG.
  • Representation of a Swiss PE fund on numerous domestic and cross border acquisition financings, comprising senior, mezzanine and vendor loans, as well as re-financings and working capital/corporate lending transactions, including revolving and ancillary credit facilities.
  • Representation of a distressed PE-owned corporate in connection with its IDW S6 DIP-financing.
  • Representation of one of the world’s largest financial institutions in connection with its US$150 million financing of a logistics center for a large German corporate, the deal was structured as a corporate lending transaction and is backed by parent company guaranties.
  • Representation of Bühnen Köln, the performing arts center of the City of Cologne, on the structuring and execution of a fixed interest rate, 40-year term, €200 million Schuldschein
  • Representation of pbb Deutsche Pfandbriefbank on its €36 million financing for a subsidiary of WCM Beteiligungs­ und Grundbesitz­AG of the “Trevista” office building in Eschborn near Frankfurt.
  • Representation of MDax®­listed Rheinmetall Aktiengesellschaft in connection with, among others, its €500 million revolving credit facility arranged by Commerzbank Aktiengesellschaft, Crédit Agricole Corporate and Investment Bank and Norddeutsche Landesbank – Girozentrale with a term of five years and two extension options of one year each (“5+1+1”) and its €500 million 4% benchmark bond due 2017.
  • Representation of GPEP GmbH, as portfolio manager, and Universal­InvestmentGesellschaft mbH on their acquisition for a special real estate fund of various opportunistic specialist retailers and retail parks with a total rental space of approximately 26,000 square meters.
  • Representation of leading lenders (such as commercial and investment banks, development finance institutions, export credit agencies as well as alternative finance providers), sponsors (such as concession and construction companies) and borrowers in public-private partnership deals to complete four German road PPPs as well as various social infrastructure and energy projects in Germany and abroad.
  • Representation of a leading global financial services firm and one of the largest banking institutions in the world in connection with its KfW­secured refinancing of a Euler/Hermes‑covered loan.
  • Representation of one of the world’s largest financial institutions in connection with their global cash management arrangements for a German DAX® company.
