Ronald Jacobi is a seasoned legal and business counselor with more than forty-five years of experience advising major corporate entities as both an executive in-house attorney and outside counsel. During this time, Mr. Jacobi has represented several motion picture and television studios, producers, cable and satellite companies, private equity firms, entrepreneurs, technology companies and financial institutions in all aspects of their businesses. Clients appreciate Mr. Jacobi’s judgement, wisdom and intuition, which together make him a powerful negotiator and advisor.
Mr. Jacobi’s broad-based practice encompasses mergers and acquisitions, intellectual property, executive compensation, employment, antitrust, corporate governance, commercial transactions and litigation. Currently, he serves as outside general counsel for the National Association of Theatre Owners, the largest exhibition trade organization in the world. He also advises several private equity firms, a large motorcycle leasing company and a prominent American family, among other notable clients.
With respect to the film industry, Mr. Jacobi has negotiated major financings, including film slate financings, “prints and ads” loans and tax advantaged financings both in the U.S. and internationally, mergers and acquisitions (including acquisitions of intellectual property assets), domestic and international distribution arrangements (including multi-year pay television output agreements), licensing arrangements (including video-on-demand licenses) and joint ventures and strategic alliances, both in the U.S. and internationally. He has been one of the principal strategists for the motion picture industry in the effort to exploit and protect its product in the digital age.
Mr. Jacobi served from 1984 until 2001 as Executive Vice President and General Counsel at Sony Pictures and its predecessor companies. There, he managed all legal and related strategic aspects of the company’s most important transactions. Due to his more than twenty years of in-house experience, Mr. Jacobi is an effective client partner who understands the drivers, pressures and objectives of in-house legal teams first-hand.
Mr. Jacobi has lectured at corporations, universities and law schools including Harvard and NYU Law Schools and the Stanford Graduate School of Business on such topics as the legal aspects of business transactions, digital piracy and the SEC’s attorney conduct rules under the Sarbanes-Oxley Act.
