Rob Lystad focuses his practice on business and commercial transactions, with an emphasis on privately held and emerging companies, international transactions, and the advertising, agribusiness, and financial technology industries.
Mr. Lystad provides strategic advice regarding the structuring and execution of domestic and international mergers and acquisitions, joint ventures, divestitures, reorganizations, going private transactions, and various debt and equity financing transactions. Mr. Lystad also regularly represents companies, trustees, and fiduciaries in employee stock ownership plan transactions.
With respect to commercial transactions, Mr. Lystad’s practice includes strategic advice and counsel regarding the commercialization of products and services and the negotiation of various domestic and international agreements, often in an “outside general counsel” role for financial technology companies, merchants, brand owners, food and beverage manufacturers, and professional services companies. His experience includes the negotiation and drafting of various complex agreements between (i) counterparties at all stages of the payments and FinTech value chains, (ii) brands and media agencies, and (iii) agribusiness companies and material suppliers through end users.
Mr. Lystad regularly counsels United States subsidiaries of foreign companies on matters ranging from mergers and acquisitions, corporate finance, lending, and commercial transactions, with an emphasis on food and related materials manufacturing businesses, creative advertising agencies, and heavy equipment manufacturers.
Mr. Lystad also helps his clients by standing at the intersection of business and government, particularly in the State of Georgia. There, he provides local governments, public and private companies, and business associations with regulatory and legislative representation in the State of Georgia.
