Rachel Kelly specialises in structured finance and debt capital markets and is a recognised industry name and market leader in securitisations and CLOs. She has nearly 30 years’ market experience working at major international law firms, including 20 years as a Partner and 5 years working in Paris where she qualified as an Avocat à la Cour, Paris. Ms Kelly joined Bryan Cave as a Partner in August 2015 to set up a new structured finance practice.
Ms Kelly’s experience includes representing and advising major investment banks, corporates, issuers and investment managers on all types of structured financings, in particular securitisations of a very broad variety of assets and whole businesses; CLOs, CDOs and other structured products and funds; secured lending, warehouse financing and receivables financing; all aspects of liability management, including strategic advisory work, bond buy-backs, exchange offers, tender offers and bondholder meetings; portfolio purchases and sales; as well as debt capital markets instruments generally, including bonds, MTNs, commercial paper, high yield bonds, exchangeable and convertible bonds and credit-linked notes.
Ms. Kelly is ranked in Chambers UK 2017 and 2016 for Capital Markets: Structured Finance, Securitisation & Derivatives and is deeply respected as “de facto one of the most experienced structured finance lawyers in the City, having been in the market since well before CLOs existed in the first place.”
She is also credited as handling ‘‘… a large range of structured products. Particular areas of focus include CLOs, CDOs and secured lending arrangements.” Consistently ranked by Chambers & Partners and Legal 500, Ms Kelly won "best in Structured Finance (including securitisation and derivatives)" at the Euromoney Legal Media Group Europe Women in Business Law Awards 2014, as well as winning a Dealmaker of the Year award from Finance Monthly in 2014.
