Rémy Blain advises clients in the areas of acquisitions and sales of companies/assets, and private equity projects for equity funds and management teams. He also advises clients on a wide range of trade matters, including distribution and franchising, joint ventures, technology transactions, bidding, teaming and supply agreements.

Key industry experience includes manufacturing, energy and construction, software, luxury, retail and food sectors.

His past experience includes senior in-house positions at Total, Thales and Airbus, where he negotiated large-scale, global transactions whilst living in the United Kingdom, Germany and Russia.

Mr. Blain became a lawyer in private practice in 2005. He has since focused on providing pragmatic advice to European, American and Asian companies in connection with their investments in France and Europe, often acting as an outside general counsel.

Mr. Blain is recognized by Chambers & Partners and French magazine Décideurs in the areas of mid-cap mergers and acquisitions, private equity and distribution.

  • Advised the management team on the MBO acquisition of the Polyflame division from the Polyconcept group, including its French, Italian and Asian operations.
  • Advised a leading food group on its strategic master franchise agreement in Mexico.
  • Advised a European paper and packaging leader in its disposal to a Spanish group, mandated under EU competition rules, of two corrugated board plants in France.
  • Advised European private equity group Argos Soditic on its LMBO acquisition from The Sage Group Plc of leading vertical software providers Aytos (solutions for Spanish local authorities), I’Car Systems (solutions for automobile dealers in France) and Salvia Développement (solutions for the real estate market).
  • Advised the management team on the LMBO acquisition by investment fund Calcium Capital of Aragan, specialized in design and distribution through pharmacies of quality food and health supplements.
  • Advised a world group specialised in consumer products on its disposal of a perfume mixing and bottling plant to a leading subcontractor in the cosmetics and pharmaceuticals fields.
  • Provide ongoing advice to a retail street wear leader on organization of monobrand and multibrand network of distributors in France.
