Lukasz Napieraj advises corporate trustees and agency providers on the full range of international bond issues (including corporate debt, debentures, high yield bond, asset backed commercial paper programmes, convertibles and MTN programmes), structured finance (including CDOs and CLOs), securitisations (including CMBS, RMBS and whole business), banking transactions (including international project financing; project bonds, lien debt and syndicated loans), escrow agreements and exchange/consent offers.

  • Advised Deutsche Trustee Company Limited and Deutsche Bank AG, London Branch in their respective capacities as the trustee and the principal paying agent in connection with £40 million bond issue by University College in the University of Oxford
  • Advised HSBC in its capacity as, among others, the note trustee and the security trustee on £231 million bond issue backed by HM Treasury to assist the University of Northampton with its development of the waterside campus
  • Advised BNYM in its capacity as, among others, the note trustee and the security agent on £233 million static originator CLO (Bosphorus Capital 1)
  • Advised BNYM in its capacity as the trustee and the agents on issue of €500 million Fixed Rate Reset Dated Subordinated Notes
  • Advised Deutsche Bank, Hong Kong Branch in its capacity as the trustee and the agents on issue of the notes under the EMTN Programme (€2 billion) by an Australian Issuer
  • Advised US Bank in its capacity as the note trustee and the agents on issue of £75 million and €30 million notes (Mezzanine 2014 Limited)
  • Advised US Bank in its capacity as the security agent and the facility agent on £560 million term loan facility, relating to the acquisition of a portfolio of Irish residential real estate loans
  • Advised BNP Paribas in its capacity as the bond trustee and the security trustee in connection with the proposed amendments to the Covered Bond Programme of Credit Suisse AG (solicitation consent)
