Danielle Mangogna devotes her practice to antitrust and trade regulation. She regularly represents clients through multiple phases of mergers and acquisitions, including the preparation and submission of premerger filings with the Federal Trade Commission and U.S. Department of Justice Antitrust Division under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 and compliance with second requests. Ms. Mangogna counsels clients on competitive issues, pricing and sales practices, information exchange guidelines, the establishment of antitrust compliance policies and the preparation of responses to government-issued civil investigative demands and subpoenas in antitrust investigations. She has advised clients on antitrust matters in a wide range of industries, including health and beauty, software, telecommunications, publishing, furniture, footwear and retail.
Danielle Mangogna’s franchise and distribution practice focuses on counseling clients in both emerging and mature franchise relationships on the application of state and federal laws to their businesses, primarily with respect to the termination and non-renewal of franchise and distributor relationships. Ms. Mangogna also assists clients in drafting and registering uniform franchise offering circulars, and otherwise ensuring compliance with federal and state disclosure and registration obligations in the United States.
