St. Louis Partner Philip B. Wright will join a faculty of experienced practitioners from across the country for the Practising Law Institute’s, "Tax Strategies for Corporate Acquisitions, Dispositions, Spin-Offs, Joint Ventures, Financings, Reorganizations & Restructurings 2017." This three-day program will focus on the tax issues presented by the entire spectrum of modern major corporate transactions, from relatively simple single-buyer acquisitions of a division or subsidiary to multi-party joint ventures, cross-border mergers, and complex acquisitions of public companies with domestic and foreign operations, including spin-offs and other dispositions of unwanted operations.

This year’s program will be presented in three cities: Oct. 18-20 in New York City and via live webcast; Nov. 15-17 in Chicago; and Dec. 6-8 in Los Angeles.

Wright will present in New York on a panel that will discuss key risk allocation issues; effects of consolidated return regulations; tax due diligence process; and indemnification issues, among other topics. In Chicago and Los Angeles, he will help provide a review and critique of recent M&A transactions.

Wright’s practice concentrates primarily on advising clients in respect of the domestic and international tax aspects of corporate acquisitions, mergers, dispositions, securities offerings and related tax matters; including structuring, negotiation, and documentation in respect of same. He also advises clients in controversy matters with the Internal Revenue Service principally regarding issues involved in acquisitions and divestitures.
