Taavi Annus focuses on corporate finance, mergers and acquisitions and general corporate matters. He has represented companies in registered and Rule 144A/Regulation S debt offerings, registered follow-on equity offerings and in private sales of debt and equity securities. He regularly advises publicly held companies with respect to securities law matters, including preparation of Exchange Act reports and proxy materials, as well as corporate governance issues. He has also represented clients in connection with mergers, acquisitions and divestitures and corporate restructurings, including in acquisitions of publicly held companies for both cash and stock. He has been involved in drafting and negotiating various corporate documents, including merger, stock and asset purchase and commercial agreements and securities offering documents.
Prior to joining the firm, Mr. Annus taught public law at the University of Tartu, Estonia, served as an advisor to the Estonian Supreme Court and as the Estonian representative at the European Commission for Democracy through Law.
