Ronald Jacobi represents major business entities, including several motion picture and television studios, producers, cable and satellite companies, private equity firms, technology firms and financial institutions in all aspects of their businesses, including securities, finance, mergers and acquisitions, intellectual property, executive compensation, employment, antitrust, corporate governance, commercial transactions and litigation. His experience includes major financings, including film slate financings, "prints and ads" loans and tax advantaged financings both in the U.S. and internationally, mergers and acquisitions (including acquisitions of intellectual property assets), domestic and international distribution arrangements (including multi-year pay television output agreements), licensing arrangements (including video-on-demand licenses) and joint ventures and strategic alliances, both in the U.S. and internationally. He has been one of the principal strategists for the motion picture industry in the effort to exploit and protect its product in the digital age.

Mr. Jacobi served from 1984 until 2001 as Executive Vice President and General Counsel at Sony Pictures and its predecessor companies. There, he managed all legal and related strategic aspects of the company’s most important transactions, including: the acquisitions of Embassy Communications and Merv Griffin Enterprises; the formation of Columbia Pictures Entertainment, Inc., through the merger of TriStar Pictures and The Entertainment Business Sector of The Coca-Cola Company; the acquisition of Columbia Pictures Entertainment, Inc., by Sony Corporation; pay television output arrangements with all of the major pay television services; the creation of and acquisition of game show libraries for The Game Show Network; Sony Pictures’ tax advantaged, German film financing program; and Sony Pictures’ equity investments in and distribution agreements with Castle Rock Entertainment and other third party production companies.

Mr. Jacobi has lectured at corporations, universities and law schools including Harvard and NYU Law Schools and the Stanford Graduate School of Business on such topics as the legal aspects of business transactions, digital piracy and the SEC’s attorney conduct rules under the Sarbanes-Oxley Act.
