Antitrust, Franchise & Consumer Law

Anita Esslinger has a general corporate and commercial practice relating to international business transactions. In addition, she practices in the areas of international regulatory issues, including EU and UK competition law, the UK Bribery Act 2010 and the Foreign Corrupt Practices Act (FCPA), and US, EU and UK export controls and sanctions regulations. She is a Co-Leader of the firm's Global Anti-Corruption Team.

Ms. Esslinger is dual-qualified as an English solicitor and an American lawyer and is a partner in the London office, where she spent almost twenty years, and in the Washington DC office.

Her practice in the area of international business transactions includes a variety of corporate and commercial issues, including distribution and marketing arrangements, licensing, joint ventures and cross-border acquisitions. In this regard, she regularly advises clients on UK and EC competition law issues, including in respect of both vertical and horizontal arrangements. During her time spent in the Washington, D.C. office, she advised computer and telecommunication consortia in connection with joint research and certification programs in connection with US antitrust issues.

She also represents clients in connection with EC and UK merger filings and coordinates multi-jurisdictional merger filings in connection with cross-border acquisitions.

Examples of Ms. Esslinger’s work in the area of competition law includes:

  • Obtaining clearance from the European Commission in connection with the €480 million acquisition of the French video game product retailer, Micromania, by Gamestop Corp.
  • Representation of a third party complainant in a merger case before the UK Competition Commission.
  • Advising on information exchanges and joint purchasing issues under EC competition law.
  • Advising on issues in horizontal and vertical transactions.

She regularly advises clients with respect to international regulatory issues such as those involving the UK Bribery Act 2010, the US Foreign Corrupt Practices Act (FCPA), the OECD Convention and other anti-corruption initiatives, foreign military sales, US, EU and UK export controls and sanctions regulations, and EU and UK competition law.

She has written and spoken regularly on matters relating to international business.
