Evan Chuck leads the firm’s global International Trade practice group. He is also the managing partner of the firm’s Shanghai office and China Practice. His practice focuses on international transactions, with significant emphasis on cross-border acquisitions, project development and government compliance in Asia. He has defended multinational companies in anti-bribery and customs investigations with various government authorities in Asia. He also counsels U.S. companies and their Asian operations on compliance matters with respect to the U.S. Foreign Corrupt Practices Act.

Mr. Chuck represents U.S. companies that offshore or outsource their design and manufacturing needs to firms throughout Asia – including China, Indonesia, Singapore, Taiwan, South Korea, Philippines and India.  He also represents industrial contract manufacturers in negotiating agreements with original equipment manufacturers and distributors in the U.S., Mexico and Europe.  He has experience in a broad range of industries, including semiconductor assembly and testing, electric generation (coal and solar), GPS, healthcare, medical device design, advertising services, industrial goods and commodities (metals) and architecture and engineering design services.

Mr. Chuck also represents well-known luxury and sports-related brands growing in the Asia-Pacific region. He has represented  well known brands in the cosmetics, apparel & accessories, food and beverage, hospitality, and luxury department store segments in their expansion into China, Hong Kong, and Singapore.

Select Representations

  • Represented Neiman Marcus in its investment into Glamour Sales, a Hong Kong company with a discount "flash" e-commerce website in China for the purpose of developing Neiman Marcus' luxury e-commerce and retail business in the People's Republic of China
  • Advising an international cosmetics company on PRC regulatory requirements, particularly with respect to China's food and drug regulations, product labeling rules, and China Customs regulations impacting duty-free sales in designated airports
  • Represented Worldwise, Inc. in the restructuring of its Chinese and Hong Kong operations in connection with the sale of the interests of its primary private equity shareholder, Capstreet, to Mistral Equity Partners.
  • Handled the disposition of Chinese assets in Terex's Corporation's recent multijurisdictional sale of its mining business to Bucyrus International, Inc. for a total of $1.3 billion
  • Advised a U.S. publicly traded pharmaceutical benefits management company in establishing operations in Singapore, Hong Kong and China in order to participate in China’s $124 billion healthcare stimulus program
  • Represented a manufacturer of GPS-enabled cell phone in its expansion and licensing of certain state-controlled technology as part of its entry into the domestic Chinese market.
  • Represented a Hong Kong-based private equity fund in an investment in a tripartite joint venture and parallel offshore fund focusing on real estate and infrastructure investments in greater China
  • Represented an Indonesian Chinese company as an investor in a Taiwanese-sponsored limited partnership focusing on infrastructure investments in greater China
  • Represented a U.S. entertainment company in development of a 8,000 square meter (approximately 86,000 square foot) flagship retail megastore in Shanghai
  • Advising an Italian luxury goods manufacturer on streamlining its supply chain and labeling issues in China
  • Advising a German footwear company on its anti-counterfeiting strategy in Asia
  • Representing a multinational construction equipment manufacturer in the development and build out of a new manufacturing facility near Shanghai
  • Negotiating design and construction contracts on behalf of the Huntington Library with Suzhou, China-based architectural design and construction firms in connection with the development and construction of one of the largest classical Chinese botanical gardens to be built outside of China
  • Representing a major U.S. entertainment company on cross-border issues relating to its bid to develop and operate a $2.4 billion integrated resort, casino and television production complex in Southeast Asia
  • Representing Eastern European investors in acquisition of certain historical buildings in Beijing
  • Advising the management team in the buyout of a distributor of Indonesian tires by one of China’s largest tire manufacturers
  • Designing and implementing a cost-savings program for a U.S. industrial construction materials manufacturer involving the transfer of U.S. manufacturing operations to a maquiladora factory in Mexico
  • Structuring off-shore entities and operations of a U.S. semiconductor equipment manufacturer to take advantage of low cost labor and financial incentives in the Philippines, Malaysia, Singapore, People’s Republic of China, Taiwan and South Korea
