Originally established in 1985, Bryan Cave's New York office is now the firm’s second largest as a result of a 2002 merger with Manhattan-based Robinson Silverman Pearce Aronsohn & Berman LLP.
Bryan Cave’s New York lawyers are committed to serving the community. The firm plays an active role in a mentoring program through Thomas Jefferson High School in East New York, Brooklyn, where we were awarded the Reliance Award for Excellence in Education. In addition, the firm oversees a program for New York City youths in conjunction with Big Brothers Big Sisters and takes on various pro bono representations.
The New York office is comprised of approximately 160 lawyers who practice in a wide range of legal disciplines, including:
Corporate Transactions and Securities
A core practice, the group handles all types of business combinations and financings, including mergers and acquisitions, tender offers, proxy contests, takeover and anti-takeover planning, joint ventures and a variety of restructuring methods as well as private equity matters. We advise on securities offerings and the continuing compliance issues after the offering is completed.
Litigation
We have significant litigation experience involving financial institutions, real estate and all manner of corporate disputes. Our securities litigation includes civil and criminal matters, director, officer and class action claims and broker-dealer representation.
Real Estate Transactions and Financings
Our nationally known Real Estate Group handles commercial transactions in development, purchase and sale of commercial and multi-family properties; structured finance projects; land use, zoning and environmental matters; and arbitration, mediation and litigation disputes.
Banking, Business and Public Finance
We represent the diverse global and domestic needs of banks, trust companies, bank holding companies and financial services organizations in the greater New York-Northeastern corridor.
Intellectual Property
For clients heavily dependent upon intellectual property – including clients in the chemical, pharmaceutical, biochemical, electrical/electronic, mechanical and computer technology fields – our lawyers tackle formal adversary proceedings as well as patent and trademark preparation and prosecution, patent office interference proceedings and licensings.
Environmental and Land Use
We handle all aspects of environmental law and litigation for New York industrial and commercial clients as well as city agencies, authorities and municipalities. Our land use lawyers represent developers, public authorities and municipalities in zoning, land use, historical preservation, building code, administrative proceedings and litigation matters.
Tax Advice and Controversy
The Tax Group works with clients in mergers and acquisitions, asset securitization transactions, bankruptcy restructurings, structured finance, tax-exemption issues, tax controversy resolution and cross-border transactions. We often represent clients in the tax audit process, in court and at administrative appeals before the IRS and state and local taxing authorities.
Bankruptcy, Restructuring and Creditor’s Rights
Our lawyers have in-depth experience representing debtors, creditors’ committees, individual creditors and entities interested in acquiring troubled companies or their assets. We also counsel clients on domestic and cross-border bankruptcy and creditors’ rights matters, loan workouts and restructurings and prepare the true sale and non-consolidation opinions necessary for sophisticated corporate and real estate transactions.
Other Practices
Lawyers in our New York office also advise clients in a broad range of international transactions; represent individuals, families and closely held businesses, major trusts and charitable institutions; and counsel clients in employment law, including preventive training and litigations.
