Wright Joins National Faculty at PLI Tax Strategies Seminar

will join a faculty of experienced practitioners from leading law firms across the country for the Practising Law Institute’s “Tax Strategies for Corporate Acquisitions, Dispositions, Spin-Offs, Joint Ventures, Financings, Reorganizations & Restructurings.”
This three-day program, Dec. 1-3 in Beverly Hills, Calif., will focus on the tax issues presented by the entire spectrum of modern major corporate transactions, from relatively simple single-buyer acquisitions of a division or subsidiary to multiparty joint ventures, cross-border mergers and complex acquisitions of public companies with domestic and foreign operations, including spin-offs and other dispositions of unwanted operations. Evolving techniques for structuring, financing and refinancing corporate turnovers, restructurings and other activities will be emphasized, with particular attention paid to consolidated return issues, the role of new financial products, the effects of the evolving economic substance and business purpose doctrines. Selected current issues in mergers, acquisitions and corporate restructurings, including the effects of recent legislation on executive compensation and on workouts, also will be addressed.
On day three of the seminar, Wright will outline interesting transactions of the past year at a continental breakfast.
Wright’s practice at Bryan Cave concentrates primarily on advising clients regarding domestic and international tax aspects of corporate acquisitions, mergers, dispositions, securities offerings and related tax matters. He also advises clients in controversy matters with the Internal Revenue Service, principally those issues involved in acquisitions and divestitures. Wright serves as an adjunct professor in the Masters Tax Program at Washington University Law School. He frequently writes and speaks on tax issues related to merger and acquisition transactions.
