Mao Tong advises multinational corporations and investors in corporate and commercial matters in China and Asia as well as Chinese clients doing business outside of China. Mr. Mao's practice focuses on corporate and commercial transactions and cross-border acquisitions. He also advises clients on financings, private equity investments, international joint ventures, corporate strategies and infrastructure, and real estate transactions.
Over the past 23 years, Mr. Mao has been involved in more than 100 Chinese-foreign joint ventures and wholly foreign-owned enterprises in China. He has also advised international clients in connection with acquisitions of Chinese entities as well as restructuring existing foreign operations in China.
Mr. Mao's clients include Fortune 100 companies, major Chinese state and private enterprises, private equity funds, technology companies and Chinese banks and financial institutions. He advised a private equity fund in connection with multiple acquisitions in China and subsequently exit sales including a US $250 million convertible bond transaction with a Hong Kong-listed company. In 2009/2010, he led a team of Bryan Cave lawyers in Hong Kong and China to complete an acquisition by a U.S. private equity fund of a Hong Kong company with manufacturing operations in China and other countries. He is now advising a U.S.-listed company in connection with the sale of its entire China operations to another U.S.-listed company.
In 2008 and 2009, he led a Bryan Cave legal team in assisting a multinational industrial company in a complex restructuring in China, including advice on regulatory, corporate spin-off, environmental and safety issues. Recently, Mr. Mao advised private equity clients in connection with their acquisitions and sales of Hong Kong and offshore entities with real estate operations in China and in establishing strategic holding structures in Hong Kong.
Mr. Mao has actively advised Chinese and international clients with respect to infrastructure and energy projects. He is leading a team of Bryan Cave lawyers advising a major Chinese state-owned enterprise to develop a hydro power project in Laos. He led a legal team in advising one of the largest Chinese financial institutions in connection with the financing of a US $1.2 billion acquisition of an energy company in Kazakhstan. In addition, he advised major Chinese and international energy companies and investors who acquired interests in power plants in China and Indonesia. He also led a team of Bryan Cave lawyers and local counsel (based in China, New York, Europe and Africa) in advising one of the largest Chinese energy companies entering into a country in Africa. Mr. Mao has also advised a major Chinese state-owned energy company in connection with its oil exploration operations in Africa and cross-border dispute issues. Currently, he and a team of Bryan Cave lawyers are advising a major U.S. clean energy firm in connection with a multi-billion dollar project in Inner Mongolia, which is to be the largest of its kind in the world. He is also advising an Asian developer in connection with financing and restructuring two power projects in Indonesia.
In addition to corporate and financing matters, Mr. Mao regularly advises and speaks on regulatory and dispute resolution matters. He has travelled throughout China to provide FCPA, compliance and integrity training courses to more than 2,000 employees of one of the largest U.S.-based conglomerates. He has also provided compliance and FCPA training programs for U.S. corporate executives throughout Asia. Mr. Mao gives FCPA training and advice to international clients in connection with potential acquisition and joint venture projects in China. In 2007 and 2008, he advised a Chinese company in connection with its claims against a contracting party before the ICC International Court of Arbitration, which resulted in a settlement on terms satisfactory to the client. More recently, Mr. Mao advised a Chinese technology client in connection with an arbitration matter conducted before the Hong Kong International Arbitration Centre. He has also advised clients on settlement of disputes arising out of joint venture and other contracts with parties in China.
Mr. Mao previously was managing partner with other international law firms’ Hong Kong offices and also served as General Counsel - Greater China for General Electric Company. He is a regular speaker and has written many articles on China law matters, and is one of the authors of the CCH China Master Business Law Guide (first edition), a pre-eminent introduction to business laws and regulations of China.
