LaDawn Naegle is a member of the firm’s Corporate Finance and Securities client service group. Her practice concentrates on federal securities, including compliance and capital raising. With over 25 years experience, she has represented a wide array of public and privately held companies in connection with public offerings and private placements of securities. She routinely advises her public company clients concerning their ongoing reporting requirements and compliance with federal securities laws and regulations of the Securities and Exchange Commission and national securities exchanges. Ms. Naegle works regularly with clients in connection with their dealings with the SEC, responding to SEC comments, seeking SEC staff interpretive relief and assisting with the implications of SEC rulemaking. She has assisted in internal investigations and subsequent remediation efforts of public companies. Ms. Naegle provides clients with assistance in establishing and maintaining corporate compliance programs, regularly advising boards of directors and executive-level management on these matters.
Her work also includes transactions in which her public and privately held company clients become involved, including mergers, acquisitions and divestitures, commercial transactions, financings and licensing transactions.
Ms. Naegle was named to the 2010 BTI Client Service All-Star Team for Law Firms in recognition of her outstanding client service.
