Bryan Cave’s Mexico Practice group routinely provides advice to clients on day-to-day Mexican labor law matters, including preparation of employment agreements and analysis and assessment of employer liability on benefits and severance obligations. We also advise on labor law issues related to start-up operations in Mexico, inter-company transfer of employees, and employer substitution. On transactions for the merger, sale or acquisition of Mexican companies (or U.S. companies with Mexican subsidiaries), we conduct due diligence review for compliance of labor-related matters under Mexican law, and assist in drafting labor-related representations and warranties in the corresponding merger or purchase agreements. Finally, we occasionally serve as liaison with local litigation counsel in disputes before Mexican labor courts.
