• Intellectual Property Licensing and Development - Drafting, advice and negotiation of licensing, brand development, commission, development, distribution and strategic partnership agreements relating to all types of intellectual property, including artistic works of authorship, consumer electronic hardware and e-commerce platforms
• e-Commerce - Advise on best practices and drafting for clients doing business on the Internet, including matters concerning software/app development, hosting, performance or behavioral based advertising (from insertion order to audit), cloud service implementation, and privacy and security practices
• Privacy - Advise consumer product, retailer, software developer, manufacturing and cooperative clients on privacy and security practices in light of commercial and regulatory insights, Federal Trade Commission guidance, and risks related to retargeting and behavioral advertising (including implications and best practices of the DAA and NAI opt-out protocols)
• Media - Advise and negotiate matters arising from client and creative, digital, media buying and public relations agency relationships, both client and agency side
• Art Law - Representation of clients in the art industry on all matters arising from art sale, loan and commission transactions, including artists, collectors, museums, auction houses, galleries and licensors
• General Corporate Representation - Representation of companies with regard to business formation and dissolution, member and shareholder disputes and relations, commercial contract drafting and review, mergers and acquisitions (deal sizes ranging up to $140 million in various industries including chemical, medical supply, for-profit education, nutritional supplements and retail food) and other corporate governance issues
• Trademark Prosecution and Enforcement - Preparation and filing of applications, Office Action responses and registration maintenance documents; drafting and responding to cease and desist letters
• Entertainment Law - Representation of clients in the advertising, live music event production, book publishing, fine art and fashion industries, with an emphasis on intellectual property and contract matters
• Debt and Equity Securities - Drafting of transaction documents for the private offering of debt and equity securities and fund formation
