John Duer is involved in a broad-based corporate practice involving corporate finance, mergers and acquisitions and closely-held business matters. His practice principally focuses on representing corporate and investment fund clients in connection with senior, mezzanine and bond financings, investments, and non-public mergers and acquisitions, with an industry focus on energy transactions (oil and gas and renewables). He has substantial expertise with domestic and cross-border debt capital markets transactions, such as offerings of high-yield debt securities, leveraged acquisitions involving high-yield debt financings and other private placements and public offerings of debt securities. His experience extends to advising clients on medium-term note, commercial paper and other structured programmes, convertible/exchangeable debt securities and asset securitizations, as well as in connection with out-of-court restructuring and refinancing transactions involving debt securities.
Further, Mr. Duer’s practice focuses on representing corporate trustees in connection with offerings of high-yield and investment-grade debt securities, convertible debt, trust preferred and hybrid securities, equipment trust receipts and other transactions involving collateral arrangements or agency roles, as well as advising corporate trustees in connection with restructuring of defaulted bond transactions. He has extensive experience representing these clients in connection with cross-border transactions involving multiple jurisdictions and layers of financing requiring creative structuring solutions to intercreditor, taxation, credit enhancement, market practice and clearing and settlement issues.
Formerly a partner in the capital markets group at another law firm in New York, Mr. Duer joined the firm in 2007.
