James (Jay) Nouss concentrates on the areas of corporate finance and mergers and acquisitions. His work has included mergers, acquisitions and divestitures, commercial transactions, distributorship arrangements and general corporate advice. Mr. Nouss’ clients have included companies in the following industries: public utilities, biotechnology, financial institutions, telecommunications and Internet, investment companies and investment advisors, brokerage and investment banking, health care, manufacturing, oil and gas, insurance, transportation, retail and mortgage-backed securities. His practice also focuses on representation of underwriters and issuers in public and private offerings of securities. He is frequently called upon to service clients’ securities compliance and disclosure needs. He also has formed various partnerships, including publicly traded master limited partnerships (MLPs) and limited liability companies. Mr. Nouss counsels several venture capital funds, investors and start-up companies, including high technology businesses, especially in the biotechnology and medical equipment fields. His work for these companies has included formation and structuring advice, capital raising assistance (both public and private offerings), licensing and corporate partnering.
