Hedge Fund
Our Hedge Fund Practice represents hedge funds, fund of funds, investment funds and other pooled investment vehicles, both domestic and offshore, including general equity funds, arbitrage funds, market neutral, small cap, global investment and emerging market funds, multi-manager, group trusts for employee benefit plans, commodity pools and distressed company funds. We work with institutional advisers, banks and brokerage firms in establishing private investment funds. We represent investment managers and broker-dealers on a broad range of matters in connection with structuring investment management arrangements and providing advice on securities, commodities and partnership issues. We counsel funds and their advisers as to the structure and organization of a wide variety of vehicles in connection with registration requirements under the Investment Company Act.
We advise registered investment advisers on issues relating to the operation of their business, including advice regarding advisory contracts, compliance with state and federal investment adviser laws and trading and compliance issues. In addition, we counsel investment advisory clients on private investment adviser exemptions, performance disclosure issues, solicitation arrangements with third parties and other marketing issues.
Working with our Tax, Employment Law and Employee Benefits groups, we have experience in advising clients seeking to structure and form private pooled investment vehicles throughout the world. Accordingly, we are able to present creative, tax efficient solutions to a variety of fluid and complex tax and regulatory concerns. We advise clients in connection with the day-to-day regulatory management of such funds, including compliance with the Investment Company Act, the Investment Advisers Act, commodities regulations and blue sky laws. We also counsel regulated clients in connection with examinations by the Securities and Exchange Commission, the National Association of Securities Dealers, Inc., the National Futures Association and other regulatory agencies.
