Frederick Scherrer has more than 39 years experience in the areas of corporate, securities, general partnerships, limited liability companies and partnerships and joint venture law.
His early background includes six years in the general practice of law followed by experience in mergers and acquisitions. Since 1977, Mr. Scherrer has devoted a substantial portion of his professional time to drafting agreements for joint ventures, limited liability companies and limited liability partnerships and general partnerships for domestic and international clients concentrating on technology, venture capital, real estate and government contracting.
Mr. Scherrer played a significant role in the drafting of the Delaware limited partnership agreement between the developer and the financier of the largest shopping center in St. Louis County. He also was involved in the transaction between a client and a foreign government relating to the manufacturing of aircraft, particularly in deciding whether the joint venture should be in the form of a general partnership, limited partnership or limited liability company. Of recent note, he has completed (i) a Delaware limited partnership agreement between a major oil company and an inventor relating to the development of new technology, (ii) a joint venture partnership between a domestic client and a foreign corporation for the manufacturing of conveying chain, (iii) a Delaware limited liability company agreement for two corporations to own a production facility in Mexico, (iv) a proxy statement/prospectus for the acquisition of a manufacturing company with foreign production facilities and (v) bank stock offerings representing either the bank or the underwriter.
