Evan Chuck’s practice focuses on international transactions, including acquisitions, mergers, joint ventures, strategic alliances and outsourcing agreements. Mr. Chuck frequently represents U.S. companies that offshore or outsource their design and manufacturing needs to firms throughout Asia – including China, Indonesia, Singapore, Taiwan, South Korea, Philippines and India. He also represents industrial contract manufacturers in negotiating agreements with original equipment manufacturers and distributors in the U.S., Mexico and Europe. He has experience in a number of industries, including semiconductor assembly and testing, process automation systems, medical device design, advertising services and industrial goods.
Mr. Chuck advises international private equity funds and their portfolio companies on corporate and commercial law matters affecting their operations in the U.S. and abroad. He has represented strategic corporate investors and private equity funds in consolidations and divestitures of semiconductor companies in Asia and Latin America.
Mr. Chuck also represents domestic and international financial institutions acting as lenders, trustees, credit enhancers and paying agents in corporate debt issuances. He has represented financial institutions in their efforts to expand their retail and money remittance businesses in the U.S. and abroad and has been counsel to institutional investors and issuers in private placement transactions of equity securities.

Negotiating design and construction contracts on behalf of the Huntington Library with Suzhou, China-based architectural design and construction firms in connection with the development and construction of one of the largest classical Chinese botanical gardens to be built outside of China.

Representing a Chinese multinational corporation in a multi-jurisdictional disposition of offshore assets and operations in the U.S. and China.

Representing a Chinese producer and exporter of shrimp in structuring its corporate operations in light of potential antidumping risk.

Representing a major U.S. entertainment company on cross-border issues relating to its bid to develop and operate a $2.4 billion integrated resort, casino and television production complex in Southeast Asia.

Representing Eastern European investors in acquisition of certain historical buildings in Beijing.

Advising the management team in the buyout of a distributor of Indonesian tires by one of China’s largest tire manufacturers.

Designing and implementing a cost-savings program for a U.S. industrial construction materials manufacturer involving the transfer of U.S. manufacturing operations to a maquiladora factory in Mexico.

Negotiating a multi-year development and manufacturing agreement with a multinational industrial goods manufacturer worth in excess of $200 million in annual revenues. The project includes the joint development of a manufacturing facility in the People’s Republic of China.

Structuring off-shore entities and operations of a U.S. semiconductor equipment manufacturer to take advantage of low cost labor and financial incentives in the Philippines, Malaysia, Singapore, People’s Republic of China, Taiwan and South Korea.
