Denis McCusker’s areas of practice concentration include corporate finance, transactions and international.
He has served as counsel to many U.S. public and private companies in connection with a wide variety of debt and equity financing transactions in the U.S. and in other markets. He also has served as counsel to lenders and borrowers in various major syndicated credit transactions, including the negotiation and documentation of workout arrangements.
He has assisted clients in structuring and documenting asset-backed securities transactions involving receivables, inventory and other classes of assets, with multiple forms of credit enhancement. This included a recent securitization of high value inventory located in multiple international jurisdictions.
For many years, he has also advised clients in connection with derivatives transactions, both over-the-counter and exchange traded, including transactions related to interest rates, currencies, equity and debt securities and commodities, In addition, he has assisted clients in reviews of their portfolios of derivatives transactions with multiple counterparties and the related documentation, with the goal of identifying and addressing risks in the transactions and inconsistencies in the transaction documents.
He has experience in business acquisitions and mergers, and in the negotiation and organization of joint ventures, both in the U. S. and internationally. He has represented clients in acquisition, sale or joint venture transactions throughout the U. S., and in Europe, South America and Asia, with particular emphasis on foreign direct investment in China, as well as representation of Chinese companies making investments in the U. S.
