David Reid is a transactional and business lawyer with a focus on public finance transactions. Mr. Reid regularly serves as disclosure counsel, underwriter’s counsel, bank counsel, bond counsel and borrower’s counsel in connection with the issuance of a variety of bond, note and other municipal obligations, including certificates of participation, lease revenue bonds, industrial development revenue bonds, tax and revenue anticipation notes, general obligation bonds, water, sewer and transportation revenue bonds, special tax bonds and special facility bonds. He also serves as bank counsel and borrower’s counsel in connection with revolving credit, term loan, liquidity facilities and bank direct purchase transactions for healthcare, nonprofit, higher educational and governmental borrowers.

Mr. Reid routinely represents a national multifamily real estate investment trust and other multifamily housing owners and developers in connection with their bond and conventional property financings. He also counseled the City of Kansas City, Missouri in connection with the development and financing of the 18,000 seat multi-use indoor arena known as Sprint Center and the adjacent nine block mixed use development known as Kansas City Power & Light District.

Mr. Reid represents clients in transactions around the country from the firm’s Kansas City and Chicago offices.   • Represented the bank providing a direct-pay letter of credit supporting $82,800,000 Hospital Authority No. 1 of Lancaster County, Nebraska Variable Rate Demand Hospital Revenue Refunding Bonds (BryanLGH Medical Center) Series 2008B-1 and 2008B-2
  • Represented the banks providing direct-pay letters of credit supporting $171,815,000 Health and Educational Facilities Authority of the State of Missouri Variable Rate Demand Educational Facilities Revenue Bonds (Saint Louis University) Series 2008A and 2008B
  • Represented the bank providing a direct-pay letter of credit supporting $67,580,000 The Trust for Cultural Resources of the City of New York Refunding Revenue Bonds, Series 2009A (Manhattan School of Music)
  • Represented the bank purchasing the $9,500,000 California Municipal Finance Authority Revenue Bonds (Children’s Day School) Series 2010
  • Represented the bank providing a direct-pay letter of credit supporting $15,300,000 California Enterprise Development Authority Variable Rate Demand Revenue Bonds (Robert Louis Stevenson School Project) Series 2011
  • Represented the bank providing a $50,000,000 revolving credit facility to an electric generating and transmission cooperative
  • Represented the bank providing a $62,500,000 revolving credit facility to a multi-state nonprofit healthcare provider
  • Represented the agent bank in connection with the provision of a term loan and revolving credit facility financing the acquisition of a hospital system in Minot, North Dakota

Representative Borrower Counsel Transactions – Mr. Reid has represented various public and private entities in connection with approximately $3.5 billion of borrowings, including the following:

  • Represented a national multifamily housing real estate investment trust in connection with negotiating and documenting a total return swap program and the placement, sale, issuance, redemption and prepayment of approximately $500 million of multifamily housing bonds and loans in the program
  • Represented a national multifamily housing real estate investment trust in connection with approximately $2.7 billion of conventional loans originated by various governmental agency, insurance company and bank lenders, including the negotiation and review of standard document modifications to be utilized by new program lenders
  • Represented a nonprofit multi-state healthcare system in connection with the establishment of a $100 million revolving credit facility
  • Represented various firm clients in connection with public incentives and financings relating to manufacturing plant and office expansions or relocations and acquisitions and dispositions of bond financed facilities
  • Represented a public utility client in connection with the refinancing of its bonded indebtedness in the States of Missouri and Indiana and the acquisition of bond financed assets from various municipalities and water districts

Representative Disclosure Counsel and Underwriter’s Counsel Transactions – Mr. Reid has represented various bond issuers and investment banking firms as disclosure counsel and underwriter’s counsel in connection with over $5.5 billion of issuances, including the following:

  • Served as disclosure counsel to the City of Kansas City, Missouri in connection with approximately $810 million of various special facility, convention center and economic development bonds
  • Served as underwriter’s counsel in connection with approximately $1 billion of revenue bonds issued for the benefit of various healthcare institutions around the country
  • Served as underwriter’s counsel in connection with approximately $1.75 billion of revenue bonds issued for the benefit of various secondary and higher education institutions around the country
  • Served as underwriter’s counsel in connection with approximately $1.2 billion of road bonds issued by the Missouri Highways and Transportation Commission
