The firm's securities practice includes regular ongoing advice to public corporations, an active transactional practice in connection with public and private issuance of debt and equity, acquisitions and mergers, and other securities-related matters. Our relationships with major public company clients enable us to develop legal solutions based on a broad overview of the marketplace and to provide quality legal services.

Public Company Securities Law Representation

We provide ongoing advice to many of the nation’s leading corporations as well as newer emerging growth companies. Our securities law practice includes assisting clients with their continuing reporting requirements under the Securities Exchange Act of 1934, including annual and quarterly reports, current reports, and proxy and information statements. Our attorneys also offer counsel for securities law compliance, including Form S-8 registration statements, stock repurchase programs, Rule 144, Section 16 and insider trading issues, corporate communications, and issues associated with "troubled company" disclosures.

Corporate Finance Transactional Representation

The firm maintains an active corporate finance transactional practice, advising issuers and underwriters in connection with public and private issuances of a variety of debt and equity instruments. With respect to public offerings, the firm regularly represents issuers in offerings of debt and equity securities, including initial public offerings, collateralized mortgage obligations, unit investment trust offerings, syndicated limited partnership interests, medium term note programs, and hybrid instruments such as foreign denominated debt securities, as well as traditional common stock and convertible debt offerings.

Additionally, the firm has established ongoing relationships with national and regional investment banking firms and regularly represents issuers with respect to private transactions in offerings of a variety of instruments, most frequently Rule 144A debt offerings, as well as a variety of corporate debt and equity securities.
