Lending & Restructuring

  • Represented nationwide lender in disputes with various project owners regarding events of default, failure to pay contractors, contract termination, lien priority, assignment of claims, assignment of subcontracts, and project takeover on failed retail developments in various jurisdictions including Missouri, Kansas, and Illinois.
  • Represented national capital investment company in dispute with project owners regarding loan default, mechanic’s lien priority and severance of real property from appurtenances on failed Missouri mixed-use development project.
  • Assisted multiple Midwest commercial and residential lenders with review of mechanic’s lien issues and formulation of strategy for clearing title in Kansas and Missouri on failed retail and mixed-use construction projects.
  • Represented regional ethanol producer in restructuring construction loans and operational loans to avoid bankruptcy and start-up ethanol production in Kansas.
  • Represented power generation consortium in negotiations with OEMs and contractors to creatively finance a series of combined cycle power generation stations in Western Australia.
  • Represented a Midwest bank in wind-up of general contracts arising from assignment of all accounts receivables from multiple construction projects throughout the country.
  • Represented project owner against sureties and lenders of defunct general contractor to frame strategy for project completion within the original project cost without delay or interruption on Kansas project.
  • Represented multi-project owner in restructuring negotiations with lenders to permit refinancing of projects and settlement of claims in multiple jurisdictions throughout the world.
  • Represented lender to safeguard its interests arising from project financing of a multi-purpose development in Utah against competing interests after the project owner defaulted and became insolvent.
  • Negotiated on behalf of owner of failed mixed-use development, with lender’s support, all terms and conditions for contract termination and separation and renegotiated subcontracts for completion of hotel and mixed-use development in Texas.
  • Negotiated on owner’s behalf all general contract termination and project takeover parameters and advised project lender regarding work-out procedures and project completion for hotel and mixed use development in Missouri.
