Caroline (Coco) Soodek has broad experience as outside general counsel to numerous companies in a variety of industries. She counsels privately held and public companies on a variety of issues, such as their formation, operation, financing and exit strategies. She has experience with finance, mergers and acquisitions, securities reporting and offerings, outsourcing agreements, supply chain management issues and entertainment matters.

• Intellectual Property Licensing and Development – Draft and negotiate sophisticated licensing and development agreements related to software, proprietary technology, proprietary data, artistic works of authorship and trademark merchandising
• Proxy Contests – Representation of insurgent shareholder groups with regard to preparation and filing of proxy and solicitation materials to nominate candidates for election to the board of directors
• Securities Law – Representation of companies in public equity offerings requiring the drafting of registration statements, drafting and review of 1934 Act filings and Rule 144 compliance and representation of issuers in private placements of debt and equity securities requiring the preparation of private placement memoranda
