Andrew Hart advises on a wide variety of corporate issues and has represented a number of companies listed on both the main market of the London Stock Exchange and AIM. These representations have included initial and secondary fundraisings along with the acquisition and disposal of listed companies in accordance with the City Code on Takeovers and Mergers. Mr. Hart has also advised a number of non-EU corporates on the most efficient way to offer their securities to individuals/entities based in the UK and certain other EU states.

Mr. Hart’s transactional experience includes joint ventures/shareholders agreements, mergers and acquisitions, private equity, and group reorganisations, acting for a range of entrepreneurial and institutional clients.

Representative Experience

  • Advising Autogrill S.p.A. (a company listed on the Borsa Italia) on its £193m takeover of LSE listed Alpha Airports Group
  • Advising Edward D. Jones & Co., L.P. in connection with disposal of UK subsidiary, Edward Jones Limited to Towry Law Finance Company Limited for an undisclosed consideration
  • Advising principal shareholder of UC Rusal on matters in connection with proposing listing of Rusal on the Hong Kong stock exchange and Euronext Paris
  • Advising Anheuser-Busch on de-listing from London Stock Exchange and listing on Euronext Paris
  • Advising principal shareholder of Rusal on acquisition of 25% + 1 stake in Russian metals producer, Norilsk Nickel
  • Advising Hermes Fund Managers on the retention of team and set up of  English LLP structure to manage Hermes’ first alternative investment fund
